About these terms
This website is operated by Measuri Ltd ("Measuri", "we", "us"), a company registered in England & Wales, with its studio at 84 Charterhouse Street, Clerkenwell, London EC1M 6JN. By accessing or using this website you agree to these terms. If you don't agree with them, please don't use the site.
These website terms are separate from any contract we enter into for services. Where the two differ, the terms of a signed engagement agreement take precedence for that work.
Using our website
You may use this website for lawful purposes and to learn about what we do. You agree not to:
- Use the site in any way that breaches applicable law or regulation.
- Attempt to gain unauthorised access to the site, its servers, or any connected system.
- Introduce malicious code, or otherwise interfere with the site's proper working.
We may update, suspend or withdraw any part of the site at any time, and we're not liable if it's unavailable for any period.
Intellectual property
Unless stated otherwise, the content of this website — text, illustrations, layout, code and branding — belongs to Measuri or is used under licence. You may view and share it for personal, non-commercial reference, but you may not reproduce, republish or exploit it commercially without our written permission.
Ownership of work we create under an engagement is dealt with in that engagement's agreement, not here.
Engagements & contracts
Any project we take on is governed by a written engagement agreement or statement of work agreed between us and your organisation. That document sets out scope, deliverables, timelines, responsibilities and commercial terms. Nothing on this website constitutes an offer to provide services on particular terms.
Estimates and proposals we share are given in good faith and remain open for the period stated in them. They are not binding until a corresponding agreement is signed by both parties.
Fees & payment
Fees, rates and payment schedules are agreed in each engagement. Unless we agree otherwise in writing, invoices are payable within 30 days of the invoice date. We reserve the right to charge interest on overdue amounts in line with the Late Payment of Commercial Debts (Interest) Act. All fees are exclusive of VAT where applicable.
Confidentiality
We treat information you share with us in confidence, and we expect the same in return for anything we disclose to you. Each party agrees to use the other's confidential information only for the purpose of the engagement, and to protect it with reasonable care. These obligations continue after a project ends.
Warranties
We carry out our work with reasonable skill and care, consistent with good professional practice. Except as expressly stated in an engagement agreement, and to the extent permitted by law, this website and any information on it are provided "as is" without further warranties of any kind.
Limitation of liability
Nothing in these terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue or data arising from your use of this website. Our liability in connection with any engagement is governed by the limits set out in that engagement's agreement.
Governing law
These terms, and any dispute arising from them or from your use of this website, are governed by the laws of England & Wales, and are subject to the exclusive jurisdiction of the courts of England & Wales.
